Cyprus company incorporation cost at the Registrar of Companies is EUR 165 for a company with share capital, EUR 235 for one without, EUR 100 more to accelerate it and EUR 10 for the name approval form. Everything above that number is professional fees, and the gap between the two is wide enough to be worth understanding.
Cyprus company incorporation cost: the state fees
| Item | Fee |
|---|---|
| Incorporation, company with share capital | EUR 165 |
| Incorporation, company without share capital | EUR 235 |
| Accelerated registration | + EUR 100 |
| Name approval or change form | EUR 10 |
| Public company form HE5 | + EUR 20 |
| Certified copies | EUR 120 |
Those are the Registrar's own published figures, for both the online route and filing by hand or post. The incorporation forms are HE1, HE2, HE3 and HE5.
Three things the Registrar's pages do not state, so we do not either: a minimum share capital for a private company, whether capital duty on authorised share capital still applies, and how long registration takes. The fee pages distinguish companies with and without share capital but set no minimum amount, and no page we read gives a timeframe. Accelerated registration for EUR 100 is the only speed option published.
Cyprus company formation price in the market
In October 2026 we read the published fees of nine providers serving foreign founders in Cyprus. Headline packages ran from about EUR 1,050 to about EUR 4,150, with a median around EUR 2,300. Our own fee is EUR 2,400.
What separates a EUR 1,050 package from a EUR 3,900 one is usually not the filing. It is whether a registered office, a company secretary, the Tax Department and VAT registrations, certified copies and the first year's compliance calendar are inside the price or billed afterwards. Comparing Cyprus company registration cost without checking that list is comparing nothing.
Cyprus company annual levy: an honest answer
The EUR 350 annual levy is the most asked-about recurring cost of a Cyprus company, and it is also the one we cannot give you a clean answer on.
What the Registrar published on 30 September 2026 is a notice that it will begin striking off entities that have not paid annual levies due under Cap. 113, citing the 2024 amending law, and that companies with unpaid levies for any year from 2012 to 2023 will be gazetted for three months before being struck off. The notice names no amount and says nothing about 2024, 2025 or 2026.
So the levy regime is being actively enforced for historic years and the pages we read do not state an obligation for the current years. The widely repeated claim that the levy was abolished from 2024 is not confirmed by the Registrar's own pages, and neither is the opposite. If you already own a Cyprus company, check your levy history, because the strike-off notice is real. If you are forming one, ask your accountant what is due for the current year.
What the company pays in tax
- Corporate income tax of 15% from tax year 2026, up from 12.5%.
- An effective 3% on qualifying profit from a qualifying intangible asset, through the 80% IP Box deduction.
- Tax losses carried forward seven years.
- No stamp duty, abolished from 1 January 2026.
- No withholding on dividends to non-resident shareholders in the general case.
A company incorporated in Cyprus is Cyprus tax resident from 2026 unless a treaty says otherwise, which is a new test sitting alongside the older management-and-control one.
Cyprus company formation service: the running cost people forget
Formation is a one-off. What recurs is accounts, a statutory audit and the tax returns, and Cyprus firms publish that at roughly EUR 1,000 for a dormant company and EUR 2,100 to EUR 4,800 for an active one. We charge EUR 2,700 a year for the full set.
That recurring figure, not the EUR 165, is what decides whether a company is worth it. Below roughly EUR 60,000 of annual profit the compliance cost usually outweighs the tax saving against simply registering as self-employed.
Common questions
- What is the Cyprus company incorporation cost at the Registrar?
- EUR 165 for a company with share capital, or EUR 235 for one without. Accelerating the registration costs a further EUR 100, and the name approval form is EUR 10.
- What do Cyprus providers charge to form a company?
- From the published fees of nine providers in October 2026, the median was about EUR 2,300, with headline packages running from roughly EUR 1,050 to EUR 4,150. Those are published fees rather than quotes we requested.
- What does a Cyprus company pay in tax?
- 15% corporate income tax from tax year 2026, raised from 12.5%. Qualifying profit from a qualifying intangible asset gets an 80% deduction, giving an effective 3% on that part. Losses carry forward seven years and stamp duty was abolished from 2026.
- Is the EUR 350 annual levy still charged?
- We do not state that it is or is not. The Registrar is enforcing arrears for the years 2012 to 2023 and announced strike-offs for non-payment, but the pages we read state no amount and no obligation for 2024 onwards. Ask your accountant for the current year before assuming either way.
